GENERAL TERMS & CONDITIONS

 

INTRODUCTION    

Please read the following terms and conditions carefully as it sets out the terms of a legally binding agreement for the training program titled Master Networker Program (hereinafter referred to as Training Program) which is promoted on the website(s) namely www.networkingsuccess.inhttps:/.paritoshpathak.comhttps://www.paritoshpathak.com/mnp  it’s mobile browser site(s), related instore Applications and other digital platforms  namely, Facebook, Instagram, YouTube, LinkedIn (collectively mentioned as “Digital Platforms of MNP” and/ or MNP) owned by Paritosh Pathak International LLP BETWEEN person, persons, companies and/ or other entities who are user of Digital Platforms of MNP or who register for the Training Program (hereinafter referred to as “YOU”) AND Paritosh Pathak International LLP (including but not limited to our affiliates, service providers, employees and partners) (hereinafter collectively referred to as “our, we or us”) having its registered office at 2052, Pocket D, Palam Vihar, Gurgaon, Gurgaon, Haryana.

 

The following terms & conditions shall apply to person, persons, companies and/ or other entities that are attending virtual/online and/or offline Training Program conducted by us. Please ensure you have read and understand the following:

 

1.     Acceptance of terms and conditions

By visiting the Digital Platforms of MNP and/ or completing the registration process for a Training Program, you are agreeing to the terms and conditions set out below (hereinafter referred to as “Terms”) and they will be incorporated into the contract between us (“Contract”). You will ensure that you and/ or your employees, partners, agents, contractors, subcontractors and any other person attending the Training Program on your behalf shall comply with these Terms. The Contract is formed when you visit all or any of the Digital Platforms of MNP and/ or register for the Training Program.

 

2. Registration

All information received by us from your registration  for Training Program will be used by us in accordance with our Privacy Policy. On registration, we expect you to provide us with accurate and complete information of the compulsory fields.

 

3.     Payment

The fee for attending the Training Program (hereinafter referred to as “Registration Fee”) will be as stated on the Digital Platforms of MNP as well as registration form for the relevant Training Program from time to time. There will be separate packages with separate price which will include special services. Services will be provided to you on the basis of the package you choose at the time of registration. Packages and price may vary in time and as per the offer applicable at a particular time. 

 

The package and its price will be made clear to you on our registration page or otherwise during the registration process and may vary from time to time, by region or by country. You agree to pay the fees at the rates notified to you at the time you reserve your seat. The currency in which your registration is payable will be specified during the order process, depending on the package and your country of residence. Eligibility for any discounts is ascertained at the time you register and cannot be changed once registration process is complete. We reserve the right to run price promotions as we think fit at any given time. 

 

Given prices are inclusive of taxes except where expressly stated otherwise. All payments for the Registration Fee may be either made in full at the time of completing the registration form or in instalments. In case you opt to make the payment in full at the time of registration and payment is not received within 7 days of your registration, your registration will be cancelled and the payment of any refund will be at our complete discretion. In event, you chose to pay in instalments; you are required to make payment of each instalment within the given time period. Late payment of instalments shall attract late fee penalty.  Payment will be made via our merchant account provider and you consent to us passing your necessary details to the merchant account provider and to them processing necessary information about you) or directly to our bank account, as notified to you. We may offer other payment mechanisms from time to time.

 

If you have completed the Training Program and wish to repeat it in future then you are required to pay only 20 % of fee. Such fee shall be notified to you at the time you reserve your seat and PPI has reserved their rights to change the percentage at any point in time.

 

If two partners from the same business register for the Training Program, then the fee for 2nd person would be 50% of the full amount so fixed. In case the business partner doesn't join in the same batch then a 50% discount option would be valid for a following batch and not thereafter. Both the business partners have to show valid legal documents to substantiate their claim of being business partners for verification purposes as and when required by us.

 

4.     Refunds

All registrations for the Training Program shall be non-refundable except as set out in paragraph number 5 and 6 as mentioned herein below. However, if you are unable to attend the Training Program for any reason you may email us at support@paritoshpathak.com to provide us with the name of a substitute to attend the Training Program on your behalf and on receipt of this email we shall make such substitution and allow the substitute access to the Training Program. We may at our discretion charge an administration fee for making such substitution. Under any circumstances, if registrant wish to non-participate in the Training Program post the registration and full payment of the registration fee or payment of instalment (s), registrant may ask for a refund within seven (7) days of registration. We are not liable to remit the amount if request for refund is processed after seven (7) days of registration.  If anyone wishes to discontinue the Training Program at any point in time before the completion of the Training Program, they will be liable to pay the full fee for the program.  If any registrant misses any module of the Training Program, we may consider adjusting the said participant in any future MNP Training Program subject to the availability and after full payment of differential amount. 

 

 

5.     Cancellation

In case of cancellation of Training Program due to force majeure event or conditions, no refund shall be provided. 

 

6.     Postponement or change of venue

There may be circumstances in which we need to postpone the Training Program or change the venue at which Training Program is to be held and if we do, we shall advise you of this as soon as we possibly can. If the postponement is for more than one year after the publicised date of the Training Program or the replacement venue is more than 50 miles away from the publicised venue, you may cancel your registration by emailing us at support@paritoshpathak.com and we shall provide you with a full refund.

 

7. Modus Operandi

We reserve the right to conduct the Training Program either online or offline. In case of any force majeure event or conditions, we may change the modus operandi of Training Program. In case of change in modus operandi of Training Program at the last minute due to any force majeure event or conditions, we shall not be liable to refund the registration fee.

 

8.     Obligations

If you act in any way which in our opinion is likely to cause any harm or nuisance to any person at the Training Program, you will be required to leave the Training Program and we shall not be liable to refund your Registration Fee or any other payment. We are not responsible for any financial losses suffered by any third person due to any harm or nuisance caused by any participant at the Training Program.

 

You must comply at all times with the health and safety policy of the venue in case Training Program is offline. You must comply with all requests from us or the venue with regard to health and safety and failure to do so will result in you being asked to leave the Training Program (in which case no refund will be provided). You may not bring any equipment or items of a hazardous or dangerous nature to the Training Program.

 

You shall not cause any damage to any part of the venue (including outside areas, and all inside walls, flooring, fixtures and fittings). You are solely liable for any damage caused by you, your employees, contractors, sub-contractors and agents to any such area of the venue and shall fully reimburse us in relation to any damage so caused. You must keep your personal belongings with you at all times and we accept no liability for any damage to, loss of or theft of any of your belongings or other items brought to the Training Program by you.

 

9.     Promotional materials and materials at the Training Program

You agree that we may include your personal details including but not limited to your photograph and/ or video in any promotional materials relating to the Training Program and/or any materials used at the Training Program. We are not liable for errors or omissions contained in such information.  Unless otherwise stated, the copyright for any such promotional materials and any materials used at the Training Program (including course notes, slides, brochures, articles and case studies) belongs to us and may not be reproduced in any medium without our prior written consent. You may use such materials for your own individual use only and may not reproduce, publish or deal with such materials in any way for any commercial use or any other use apart from individual personal use. We reserve the right to change the published programme or its module or materials as we think fit.

 

10. Intellectual Property Policy

All content of the Training Program and Digital Platforms of MNP such as text, graphics, logos, icons, images, audio and video clips, and digital downloads, data compilations, and software, is our Intellectual Property and the compilation thereof is our exclusive property, protected by Copyright laws, Patent Laws as well as Trade Marks Laws in India and its related treaties and conventions. 

 

Any trademarks, service marks, graphics, logos, page headers, icons, scripts and trade names (hereinafter referred to as “trademarks”) contained/ referred to or used by us in the Training Program and Digital Platforms of MNP are proprietary to us. Our trademarks may not be used in connection with any product or service that is not ours in any manner that is likely to cause confusion among users or that disparages or discredits us or anyone else. All other trademarks not owned by us that appear on the Website are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by/ sponsored to us.

 

We grant you a limited license to access and make personal use of the Intellectual Property contained / referred to or used by us in the Training Program and Digital Platforms of MNP only for your individual use and not for any commercial or any other use. No Content or Intellectual Property contained/ referred to or used by us in the Training Program and Digital Platforms of MNP or any other Internet site owned, operated, licensed, or controlled by us may be copied, reproduced, republished, downloaded (other than page caching), uploaded, posted, transmitted or distributed in any way, or sold, resold, visited, or otherwise exploited for any commercial purpose or any other purpose, except that you may download one (1) copy of the Content that we make available to you for such purposes on a single computer for your personal, non-commercial, home use only, provided that you: 

(a) Keep intact all copyright, trademark and other proprietary rights notices; 

(b) Do not modify any of the Content; 

(c) Do not use any Content in a manner that suggests an association with any of our products, services or brands; and 

(d) Your use of Content on any other website or computer environment is strictly prohibited.

 

The license granted to you does not include, and specifically excludes, any rights to: 

  • resell or make any commercial use of the Content;

  • collect and use any product listings, descriptions, or prices; 

  • make any derivative use of the Training Program or Digital Platforms of MNP or Content; 

  • download or copy account information for the benefit of anyone else; 

  • use any form of data mining, robots, or similar data gathering and extraction tools. 

 

11.     Photography and filming/ record

We may wish to photograph or film/ record the Training Program and reserve the right to do so for the purposes of promoting future Training Programs or otherwise. You may take photographs of yourself at the Training Program, however, photograph or film/ recording of the content, study material, module, training, sessions at the Training Program is strictly prohibited.

 

 

12.  Sponsored Participant

If a participant has been sponsored by another MNP participant/ alumni or by a company. The membership of the sponsored person be revoked anytime during the course, based on a formal request from the sponsor. In case the sponsored person has completed the course, he/she can be removed from the MNP community and events. In such a case, the sponsored person's certification can be cancelled and she/he shall have no rights and privileges on MNP content, Community etc.

 

13. Referral Programme

Participant/ alumni of MNP may refer another person into the MNP Program. If any person so referred registers for the MNP Program, then participant/ alumni of MNP who has referred may be eligible for one- time credit of Rs. 25000/- provided payment for the Registration Fee is made in full at the time of completing the registration form or if opted for instalment then at least 3 EMIs are paid by person so referred. Such credit may be used by participant/ alumni for MNP events and/ or other related events.

 

14.  Services for MNP Alumni

The networking services and other services including but not limited to offers/ events / alumni group meets/ participation in social media platforms of MNP etc. which are designed by us from time to time for MNP alumni, is exclusive proprietary of us. We have reserved exclusive rights for participation of any alumna in these services designed for MNP alumni. We may, at our discretion, restrain any person from participating and/or availing such services for the reasons including but not limited to:

a.     Non-payment of MNP course fees;

b.     Non-completion of MNP course;

c.     Unethical behaviour

 

15. Travel, accommodation and refreshments

You shall be responsible for making and paying for your own travel, accommodation and refreshments unless expressly included in your package at the time of registration. If you are late at the Training Program or prevented from attending the Training Program due to travel delays or any other circumstances, we shall not be obliged to provide you with a refund or to wait to start the Training Program until you arrive or provide you with any recorded session at the later stage. 

 

16.   Technical glitch during virtual Training Program

In case of virtual Training Program, you shall be responsible for proper working of internet connectivity at your end. If there are technical glitch at you end which prevented you from attending the Training Program or caused delay, we shall not be obliged to provide you with a refund or to wait to start the Training Program until you come online or provide you recording of the Training Program at a later stage. 

 

17. Disclaimer of warranties

The content used in the Training Program or Digital Platforms of MNP is provided “as is” and without warranty of any kind, expressed or implied. To the fullest extent permitted by applicable law, we disclaim any and all warranties, expressed or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the functions contained in any content (including, without limitation, user-generated content) will be uninterrupted or error-free, that defects will be corrected, or that the website or the servers that make such content available are free of viruses or other harmful components and you assume the entire cost of all necessary servicing, repair or correction of any of your equipment or software. We make no representations or warranties regarding use, or the results of use, of any content, product or service contained on or offered, made available through, or otherwise related in any way in the Training Program or Digital Platforms of MNP including, without limitation, any third party site (and specifically no representation or warranty of correctness, accuracy, completeness, reliability or safety).

 

We explicitly disclaim any responsibility for the accuracy, completeness or availability of information, content and materials contained / referred to or used by us in the Training Program and Digital Platforms of MNP. We cannot ensure that you will be satisfied with any product or service that you purchase from a third party or its website that links to or from our Training Program or Digital Platforms of MNP or third party information, content or materials contained / referred to or used by us in the Training Program and Digital Platforms of MNP. We do not endorse any of the merchandise, nor have we taken any steps to confirm the accuracy, completeness or reliability of, any of the information, content or materials contained on any third party website. We do not make any representations or warranties as to the security of any information, content or materials (including, without limitation, credit card and other personal information) you might be requested to give to any third party. You hereby irrevocably and unconditionally waive any and all claims against us with respect to information, content and materials contained / referred to or used by us in the Training Program and Digital Platforms of MNP (including, without limitation, user-generated content), on third party sites, and any information, content and materials you provide to or through any such third party sites (including, without limitation, credit card and other personal information). We strongly encourage you to make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any third party.

 

Content/ modules contained / referred to or used by us in the Training Program and Digital Platforms of MNP and products/services contained thereon are not substitutes for the advice and treatment by an expert. Not all products and services are suited for everyone. The creators of any products/services do not assume, and shall not have, any liability to users for injury or loss in connection therewith. We make no representations or warranties and expressly disclaim any and all liability concerning any treatment or any action following the information offered or provided within or through our digital platforms, trainings, coaching, consulting programs or services. If you have specific concerns or a situation in which you require professional or medical advice, you should consult with an appropriately trained and qualified specialist. You agree that by using any products or services or advise, you do so entirely at your own risk. You acknowledge that you have carefully read this “waiver and release” and fully understand that it is a release of liability. You expressly agree to release and discharge all indemnified parties (as defined below) from any and all claims or causes of action and you agree to voluntarily give up and irrevocably waive and release any right that you may otherwise have to bring a legal action against any indemnified party for personal injury or property damage.

 

 

18. Indemnification

You hereby agree to indemnify, defend, and hold us, and our licensors, licensees, successors, distributors, agents, representatives and other authorized users, and each of their respective officers, directors, owners, partners, managers, partners, members, employees, agents, representatives and assigns (collectively, the “Indemnified Parties“), harmless from and against any and all loss, cost, damage, liability and expense (including, without limitation, settlement costs and legal or other fees and expenses) suffered or incurred by any of the Indemnified Parties arising out of, in connection with or related to any breach or alleged breach by you of these Terms & Conditions. You shall use your best efforts to cooperate with us in the defence of any claim. We reserve the right, at our own expense, to employ separate counsel and assume the exclusive defence and control of the settlement and disposition of any claim that is subject to indemnification by you.

 

 

19. Limitation of Liability

Under no circumstances (including negligence) shall we be liable to you or anyone else for any direct, indirect, incidental, special or consequential damages (including lost profits), personal injury (including death) or property damage of any kind or nature whatsoever that arise out of or result from: 

(a) the use of, or any inability to use or participate in Training Program or Digital Platforms of MNP or any content or functions thereof; or 

(b) any act or omission, online or offline, of any user of the Training Program or anyone else, even if we have been advised of the possibility of such damages. 

 

In no event shall our total liability to you for all loss, cost, damage, liability or expense (including attorney’s fees and costs) that you may suffer or incur, under any theory of liability, in contract, tort (including, but not limited to, negligence) or otherwise, exceed the amount paid by you, if any, for the right to access or participate in any activity related to Training Program and/ or Digital Platforms of MNP. 

 

Under no circumstances shall we or any of the indemnified parties be liable for any delay or failure in performance resulting, directly or indirectly, from any event of force majeure or other cause beyond our or their control including, without limitation, acts of god, war, equipment and technical failures, electrical power failures or fluctuations, strikes, labor disputes, riots, civil disturbances, shortages of labor or materials, natural disasters, epidemic/ pandemic, governmental actions, orders of domestic or foreign courts or tribunals, or non-performance of third parties. Neither we nor any other indemnified party is responsible or liable for: 

(a) any incompatibility between the Digital Platforms of MNP and any site, service, software or hardware; or 

(b) any delay or failure you may experience with any transmission or transaction related to the Training Program or Digital Platforms of MNP.

 

The limitations, exclusions and disclaimers herein and elsewhere in these Terms & Conditions apply to the maximum extent permitted by applicable law. Applicable law may not allow certain of the exclusions, limitations, or disclaimers of liability set forth in these terms and conditions, so such exclusions, limitations or disclaimers may not apply to you.

 

 

20. Amendment

We reserve the right, in our sole discretion, to change, modify, add or delete portions of these Terms & Conditions at any time without notice, and it is your responsibility to review these Terms & Conditions for any changes. Your participation in the Training Program or use of any or all Digital Platforms of MNP following any change to these Terms & Conditions will constitute your assent to and acceptance of the revised Terms & Conditions.

 

 

21. Jurisdiction

If you are a user whose principal address or principal participation of MNP Services in the Training Program or use of any or all Digital Platforms of MNP occurs in any jurisdiction across the world then these terms and conditions will be subject to Indian law. In this case, to the extent possible in the applicable jurisdiction, both you and we agree that the competent courts in New Delhi, India will have non-exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these terms and conditions.

 

 

22. Electronic Communications

When you visit any or all Digital Platforms of MNP or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on Digital Platforms of MNP. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

 

 

23. Miscellaneous Legal Provisions

You may not license or transfer any of your rights under these terms and conditions. We may transfer any of our rights or obligations under these terms and conditions to any individual, organization or entity but if we do so we will ensure that any company/individual/entity to whom we transfer our rights or obligations will continue to honour your rights under them. Any resultant changes to the terms and conditions will be intimated to you via email. If any provision of these terms and conditions is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these terms and conditions, which will remain in full force and effect.

 

Failure by either party to exercise any right or remedy under these terms and conditions does not constitute a waiver of that right or remedy. Headings in these terms and conditions are for convenience only and will have no legal meaning or effect.

 

These terms and conditions constitute the entire agreement between you and Paritosh Pathak International LLP for your participation in the Training Program or use of any or all Digital Platforms of MNP Services. They supersede all previous communications, representations and arrangements, either written or oral.

 

 

24. Validity

These terms and conditions were published on 10th May 2021 and replace with immediate effect the terms and conditions previously published and shall be valid till further notice.
